Urban Bureau – Terms of Sale

These Terms of Sale apply to all orders placed with Urban Bureau Pty Ltd (ABN 73 619 497 031) ("Urban Bureau"). They override any conflicting terms from buyers unless otherwise agreed in writing. Urban Bureau may update these terms periodically without notice.
1. Orders
1.1 Orders are confirmed upon written acceptance by Urban Bureau.
1.2 Orders can be changed or cancelled within 2 business days of confirmation. After this period, the sale is final.
1.3 Orders are subject to product availability.
1.4 Cancellations after confirmation require written consent from Urban Bureau.
1.5 Unless otherwise agreed, a minimum order value of $1,500 + GST applies.
2. Delivery Terms
2.1 All goods are supplied ex works from Urban Bureau’s Sydney warehouse unless otherwise confirmed. Ownership and risk transfer to the buyer upon dispatch and invoicing.
2.2 Urban Bureau can arrange delivery at the buyer’s expense. While we aim for cost-effective shipping, additional unforeseen charges may be passed on.
2.3 Drop shipping is at Urban Bureau’s discretion and typically applies to larger furniture items. A handling fee of $40 + GST per order applies. Separate orders cannot be consolidated.
2.4 Goods are dispatched and invoiced once available. Storage of goods is not provided unless arranged and agreed in writing.
2.5 Invoices (Tax or Proforma) are due within 4 business days. Delayed payment may result in reallocation of goods, though the original agreement remains binding.
2.6 Buyer-arranged pickups require 48 hours’ written notice and bank remittance confirmation emailed to accounts@urbanbureau.com.au 24 hours before dispatch.
3. Delivery Timing
3.1 Estimated delivery dates are provided in order confirmations and are subject to supplier timelines and shipping logistics.
3.2 Urban Bureau is not liable for delays or any business-related losses arising from them. Delivery times are indicative and may change.

4. Pricing
4.1 Price lists are indicative only; final pricing is confirmed upon order. Errors or misprints may be corrected without notice.
4.2 Recommended retail prices (RRP) are provided. Buyers may set their resale prices but are discouraged from significantly undercutting RRP.
4.3 Frequent discounting or deep discounting (greater than 15%) is discouraged, as it may impact brand integrity and long-term profitability. The exception to this is products discontinued by the brands or other items after discussion and agreement with Urban Bureau.

5. Payment Terms
5.1 Payment is required in full prior to dispatch, unless otherwise agreed in writing.
5.2 Buyers cannot withhold or offset payments against other claims. Doing so breaches the purchase agreement.
5.3 Made to Order (MTO) items require a 50% deposit upon placement. Urban Bureau reserves the right to request deposits for other orders at its discretion.
6. Retention of Title
6.1 Urban Bureau retains ownership of all goods until full payment is received. We reserve the right to reclaim unpaid goods.
7. Warranties
7.1 Goods are covered by manufacturers’ warranties, subject to their terms and approval.
7.2 Defects caused by production or materials are covered if the product has been used with reasonable care.
7.3 Warranty claims must be submitted in writing using the Urban Bureau Claim Form.
8. Damage or Fault Claims
8.1 Claims must be submitted in writing within 7 days of delivery using the Claim Form.
8.2 Returns require prior written approval.
8.3 Claims do not apply to defects caused by mishandling, incorrect use, normal wear and tear, poor maintenance, accidents, or other buyer-related risks.

9. Force Majeure
9.1 Urban Bureau is not liable for delays or non-performance caused by events beyond its control (e.g. supplier delays, transport issues, regulations, computer viruses).

10. Limitation of Liability
10.1 To the extent permitted by law, Urban Bureau is not liable for product liability, indirect or consequential loss, loss of profit, or business interruption resulting from the use of our products or services.

11. Confidentiality
11.1 All pricing, product previews, and proprietary information provided by Urban Bureau—unless publicly available—are confidential and must not be disclosed to third parties.
11.2 This obligation remains in effect even after the end of any commercial relationship or brand representation.
